These Terms of Service govern access to and use of Praxis AI Cloud, account services, APIs, model routing, agent runtime, document processing, sandbox and browser tools, registry, billing, support, and related services provided by Praxis Global Limited (知行環球有限公司). Nanjing Deep Practice Artificial Intelligence Technology Co., Ltd. may provide underlying technology, software, IP licensing, maintenance, and technical support.

1. Eligibility and accounts

Users must have legal capacity to enter into these Terms. If a user uses the service for an organization, the user represents that they have authority to bind that organization. Users are responsible for account activity, credentials, API keys, workspace permissions, tenant configuration, and all use under their account.

2. Services

The service provides AI cloud, agent workspace, model routing, developer APIs, tool execution, document processing, registry, billing, and related platform capabilities. We may add, modify, suspend, or discontinue features. Beta, preview, experimental, or free features may be changed or withdrawn at any time and may be subject to additional limits.

3. Customer content and platform materials

Users retain ownership of their original content, including prompts, files, messages, code, data, configuration, and outputs to the extent permitted by law and third-party rights. Users grant Praxis Global Limited the rights needed to host, process, transmit, display, transform, secure, troubleshoot, and otherwise operate the service.

The platform, software, APIs, documentation, service design, operational data, routing metadata, diagnostics, aggregate analytics, and service-improvement outputs are owned or controlled by Praxis Global Limited, its affiliates, or licensors. No rights are granted except as expressly stated.

4. User responsibilities

Users must comply with law, these Terms, the Acceptable Use Policy, applicable product documentation, and any plan limits. Users are responsible for the legality, accuracy, permissions, and rights in their content and instructions. Users must not misuse the service, interfere with security, overload systems, bypass limits, or use the service to harm others.

5. AI outputs

AI outputs may be inaccurate, incomplete, offensive, or unsuitable for a specific purpose. Users are responsible for reviewing outputs before relying on them, publishing them, using them in production, or making decisions that affect legal rights, safety, employment, credit, healthcare, housing, education, or other sensitive matters. The service is not a substitute for professional advice. Users are solely responsible for reviewing and verifying outputs before relying on, publishing, or acting on them.

6. Third-party services and model providers

The service may interoperate with third-party model providers, payment processors, hosting providers, identity providers, and tools. Third-party terms may apply. Praxis Global Limited is not responsible for third-party services outside its control, but will use reasonable efforts to disclose material subprocessors and provider roles through the Praxis Trust Center.

7. Fees, billing, and suspension

Paid plans, usage-based charges, subscriptions, prepaid balances, enterprise fees, taxes, and refunds are governed by the applicable order, checkout terms, invoice, subscription terms, or refund terms. We may suspend or limit service for non-payment, security risk, abuse, legal risk, excessive usage, or breach of these Terms.

8. Disclaimers and limitation of liability

The service is provided on an "as is" and "as available" basis except where a separate written agreement states otherwise. To the maximum extent permitted by law, Praxis Global Limited disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

To the maximum extent permitted by law, Praxis Global Limited will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of data, business interruption, or substitute services. Unless a separate written agreement states otherwise, aggregate liability is limited to the fees paid by the customer for the service in the three months before the event giving rise to liability.

9. Termination

Users may stop using the service at any time. We may suspend or terminate access for breach, legal risk, security risk, non-payment, abuse, or discontinuation of the service. Sections that by nature should survive termination will survive, including payment obligations, IP rights, disclaimers, liability limits, confidentiality, and dispute terms.

10. Governing law and disputes

Unless a separate written agreement states otherwise, these Terms are governed by the laws of Hong Kong, without regard to conflict-of-law rules. Courts in Hong Kong will have non-exclusive jurisdiction.

11. Indemnification

You will indemnify, defend, and hold harmless Praxis Global Limited, its affiliates, and licensors from and against any third-party claims, losses, liabilities, and reasonable expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your content, prompts, data, or instructions, including any claim that you submitted them for AI or other processing without the right or consent to do so; (b) your use of outputs in violation of these Terms or law; (c) prohibited or high-risk uses under the Acceptable Use Policy; (d) your failure to apply required human review before making decisions that have a material effect; and (e) your breach of these Terms or infringement of third-party rights.

12. Changes to the Terms

We may modify these Terms. For material changes, we will give advance notice by reasonable means, such as in-product notice or email. Continued use of the service after the effective date of a change constitutes acceptance. If you do not agree, you must stop using the service.

13. Assignment

We may assign these Terms, including in connection with a merger, acquisition, or reorganization. You may not assign these Terms without our consent.

14. Entire Agreement; Severability; No Waiver

These Terms, together with the policies and orders they reference, constitute the entire agreement between you and us regarding the service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure or delay in exercising a right does not constitute a waiver of that right.

15. Force Majeure

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, network or power outages, upstream provider or infrastructure failures, and government actions.

16. Export Controls and Sanctions

You will comply with applicable export control, sanctions, and trade laws, and will not use or export the service in violation of them. You represent that you are not listed on any restricted-party list.

17. Feedback

If you provide feedback or suggestions about the service, you grant Praxis Global Limited a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction and without obligation to you.
